Welcome to Bloopy! By using Bloopy (“we”, “us”, “our”), you (“you”, “your”, “user”, or “customer”) agree to these Terms of Service (“Terms”). Please read them carefully.

By accessing or using Bloopy's website, applications, or related services (collectively, the “Service”), you acknowledge you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, please do not use our Service.

1. Eligibility

You must be at least 18 years old or have reached the age of majority in your jurisdiction to use Bloopy. By using our Service, you confirm you meet these requirements.

2. User Accounts

To access certain features, you must create an account.

  • You agree to provide accurate, complete, and up-to-date information.
  • You are responsible for maintaining the confidentiality of your account and password.
  • You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purposes.
  • Interfere with or disrupt the Service or servers.
  • Upload or transmit viruses, malware, or harmful code.
  • Attempt to access another user's account without permission.

We may suspend or terminate your account for violating these Terms.

4. Subscription, Billing, and Payment

Bloopy offers both free and paid subscription plans. By using our payment features or subscribing to a paid plan:

  • You agree to provide accurate billing information and authorize us to charge your payment method.
  • Subscription fees are billed in advance and are non-refundable, except as required by law.
  • Enterprise Wallet Services: For Enterprise customers, we offer digital wallet services to facilitate seamless transactions and automated service payments. Use of these wallet services is subject to additional security protocols and specific usage limits as defined in your Enterprise Agreement.
  • You may cancel or downgrade your subscription at any time in your account settings; changes will take effect at the end of the current billing cycle.

5. User Content & Data

You retain all rights to the content, messages, and data you submit or process using Bloopy (“User Data”).

  • You grant us a limited license to use your User Data only as needed to operate, maintain, and improve the Service.
  • You are responsible for the legality, reliability, and appropriateness of your User Data.

6. Third-Party Integrations

Bloopy may allow you to connect third-party services (e.g., WhatsApp, Instagram, Telegram, Threads, payment gateways).

  • Use of third-party services is subject to their own terms and policies.
  • We are not responsible for the practices of these third parties.

7. Service Modifications and Availability

We may update, modify, or discontinue any part of the Service at any time, with or without notice. We are not liable for any damages arising from any modification, suspension, or discontinuation.

8. Intellectual Property

All intellectual property rights in Bloopy (excluding User Data) are owned by us or our licensors. You may not copy, modify, or distribute any part of Bloopy without our permission.

9. Disclaimer of Warranties

Bloopy is provided “as is” and “as available.” We make no warranties, express or implied, regarding the Service's accuracy, reliability, or availability.

10. Limitation of Liability

To the maximum extent permitted by law, Bloopy shall not be liable for any indirect, incidental, or consequential damages, or for loss of profits, data, or use, arising out of your use or inability to use the Service.

11. Indemnification

You agree to indemnify and hold harmless Bloopy, its affiliates, officers, and employees from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We may update these Terms occasionally. Material changes will be notified via email or in-app notice. Continued use of the Service means you accept the revised Terms.

13. Partnership Program

By applying for or participating in the Bloopy Partnership Program (“Program”), you acknowledge and agree that participation is subject to these terms, as well as any additional program-specific guidelines communicated by Bloopy from time to time, based on your assigned partnership tier (including Referral Partner, Reseller Partner, or Technology Partner).

Nature of Partnership

Partners are typically businesses, organisations, agencies, or platforms that manage, serve, or represent multiple end-users or merchants (“End Clients”). The purpose of the Program is to enable Partners to extend Bloopy's services to such End Clients, either by:

  • Introducing or referring End Clients to Bloopy,
  • Managing onboarding or deployment of Bloopy on behalf of End Clients,
  • Embedding or integrating Bloopy within their own platform or service offering, or
  • Reselling or bundling Bloopy as part of their commercial services, where applicable.

End Client Responsibility

Unless explicitly agreed otherwise in writing:

  • End Clients remain customers of Bloopy, not of the Partner.
  • Bloopy retains ownership of the platform, AI systems, and infrastructure.
  • Partners may not misrepresent ownership, control, or affiliation with Bloopy.

Partner Obligations

Partners agree to:

  • Provide accurate and up-to-date information during onboarding and throughout participation in the Program.
  • Ensure End Clients are onboarded in a manner consistent with Bloopy's usage policies and platform guidelines.
  • Represent Bloopy in a professional and accurate manner, consistent with approved brand and communication guidelines.
  • Avoid any activity that may harm Bloopy's reputation, platform integrity, or relationships with End Clients.

Platform Usage & Access

Where Partners are granted administrative or management access to Bloopy on behalf of End Clients:

  • Such access is granted strictly for operational purposes.
  • Bloopy reserves the right to limit, suspend, or revoke access at any time where misuse, risk, or policy violation is detected.

Acceptance & Termination

Bloopy reserves the right to approve or reject any partnership application at its sole discretion. Participation in the Program may be suspended or terminated by either party with reasonable notice, or immediately in cases involving:

  • Breach of these terms,
  • Misuse of the platform,
  • Fraudulent or misleading activity,
  • Or failure to meet Program requirements.

Upon termination, all granted access, privileges, and partner benefits will cease immediately unless otherwise agreed.
